Clients retain ownership of:

- Images and media uploaded by Client

3.3 License Grant
WebGrowth grants Client a non-exclusive, non-transferable license to use the website for business purposes during the active subscription period.
4. Payment Terms
4.1 Subscription Billing
- Services are billed monthly in advance
- Payments are due on the same day each month as the initial subscription date
- Accepted payment methods: Credit card
4.2 Setup Fees
- Setup fees may apply based on service tier (typically 50% of monthly subscription)
- Setup fees are waived for launch customers and promotional periods
- Setup fees are refundable within 30 days if Client is not satisfied
4.3 Price Changes
- We reserve the right to modify pricing with 30 days' written notice
- Existing subscribers will be grandfathered at current rates for 12 months
- Price increases will not exceed 15% annually
4.4 Late Payments
- Services may be suspended after 7 days of non-payment
- A €25 late fee may be applied to overdue accounts
- Service restoration requires payment of all outstanding amounts
5. Service Level Agreement
5.1 Uptime Guarantee
- We guarantee 99.9% uptime for hosted websites
- Planned maintenance windows will be announced 48 hours in advance
- Downtime credits: 1 day of service credit for each 4 hours of unplanned downtime

- Advanced: 24-48 hours email support
- Growth: 12-24 hours email support
5.3 Development Timeline
- Initial website delivery: 2-3 weeks from subscription start
- Monthly updates and modifications included per tier limits
- Rush requests available for VIP tier clients
6. Client Responsibilities
6.1 Content Provision
- Provide content, images, and materials in timely manner
- Ensure all content is legally owned or properly licensed
- Review and approve designs and functionality before launch
6.2 Legal Compliance
- Comply with all applicable laws and regulations
- Obtain necessary business licenses and permits
- Ensure website content meets legal requirements in your jurisdiction

- Maintain confidentiality of login credentials
- Notify us immediately of any security breaches
- Use strong passwords and enable two-factor authentication when available
7. Prohibited Uses
Clients may not use our Services for:

8. Termination
8.1 Client Termination

- We may terminate immediately for violation of Terms
- We may terminate with 30 days' notice for business reasons
- Refunds provided on pro-rata basis for prepaid unused services
8.3 Post-Termination
- Website will remain accessible for 30 days after termination
- Client may request data export during this period
- WebGrowth retains all IP rights to code and development work
9. Limitation of Liability
- WebGrowth's total liability shall not exceed the amount paid by Client in the 12 months preceding the claim
- We are not liable for indirect, consequential, or punitive damages
- We are not responsible for third-party services or integrations
- Client assumes responsibility for business decisions and outcomes
10. Governing Law
These Terms are governed by Romanian law. Disputes will be resolved through:
- Good faith negotiation
- Mediation if negotiation fails
- Romanian courts as final resort
11. Changes to Terms
We may modify these Terms with 30 days' notice. Continued use of Services constitutes acceptance of modified Terms. Material changes will be highlighted and require explicit consent.
